1Acceptance of Terms

By using the 901 Logistics & Permits LLC website located at 901freight.com and any related subdomains, portals, or applications, you confirm that you are at least 18 years of age, have the legal authority to enter into these terms, and agree to comply with all applicable federal, state, and local laws and regulations.

2Services Provided

901 Logistics & Permits LLC provides third-party logistics (3PL), freight brokerage, last-mile delivery, courier services, warehousing, and permit services. Our services include but are not limited to:

• OTR (Over-the-Road) freight transportation and brokerage
• Daily courier and last-mile delivery services
• Warehouse storage and distribution center operations
• Driver recruitment and contractor onboarding (1,2,3 Drive program)
• Customer shipment tracking and portal access
• Permit processing and compliance assistance

3Independent Contractor Relationship

Drivers and couriers who apply through our 1,2,3 Drive program or Daily Couriers program are engaged as independent contractors, not employees of 901 Logistics & Permits LLC. As an independent contractor, you acknowledge that:

• You are responsible for your own taxes, insurance, and vehicle maintenance.
• You are not entitled to employee benefits, workers' compensation, or unemployment insurance from 901 Logistics & Permits LLC.
• You retain the right to work for other companies unless a specific exclusivity agreement is signed.
• You must maintain valid commercial or personal auto insurance as required by applicable law.
• You are responsible for compliance with all DOT and FMCSA regulations applicable to your operations.

4User Responsibilities

When using our website, portals, or services, you agree to:

• Provide accurate, current, and complete information during registration or application.
• Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access.
• Not use our platform for any unlawful, fraudulent, or harmful purpose.
• Not attempt to reverse-engineer, scrape, or disrupt any part of our website or systems.
• Comply with all applicable laws when using our services.

5Freight & Shipment Terms

All freight and shipment services are subject to the following conditions:

• Quotes are estimates only and may vary based on actual weight, dimensions, and route conditions.
• Liability for lost or damaged freight is limited to the lesser of the declared value or $0.60 per pound unless additional coverage is purchased.
• Hazardous materials must be disclosed prior to booking; failure to disclose may result in immediate cancellation and additional fees.
• Delivery timeframes are estimates and not guaranteed unless a guaranteed service is explicitly purchased.
• Claims for loss or damage must be submitted in writing within 9 months of delivery or scheduled delivery date.

6Payment Terms

Payment for services is due as specified in the applicable service agreement or invoice. Late payments may be subject to a finance charge of 1.5% per month (18% annually) or the maximum allowed by law. 901 Logistics & Permits LLC reserves the right to suspend services for accounts with outstanding balances. All fees are non-refundable unless otherwise stated in a written agreement.

7Intellectual Property

All content on this website — including logos, text, graphics, images, and software — is the exclusive property of 901 Logistics & Permits LLC and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.

8Limitation of Liability

To the fullest extent permitted by law, 901 Logistics & Permits LLC shall not be liable for:

• Indirect, incidental, special, or consequential damages arising from use of our services.
• Loss of profits, revenue, data, or business opportunities.
• Delays caused by weather, acts of God, government actions, or other force majeure events.
• Third-party actions or failures, including carriers, vendors, or technology providers.

Our total liability in any matter shall not exceed the amount paid by you for the specific service giving rise to the claim in the 30 days preceding the event.

9Governing Law & Dispute Resolution

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising under these terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Memphis, Tennessee, in accordance with the rules of the American Arbitration Association.

10SMS & Text Message Communications

By providing your mobile phone number to 901 Logistics & Permits LLC, you agree to receive SMS text messages from us related to your shipments, driver applications, dispatch updates, service notifications, and promotional offers.

11Modifications to Terms

901 Logistics & Permits LLC reserves the right to update or modify these Terms & Conditions at any time without prior notice. Changes will be effective immediately upon posting to this page. Your continued use of our services after any changes constitutes your acceptance of the revised terms. We encourage you to review this page periodically.
